Agreeing to these terms
This is a deal between you and Memorylane. Using the app means you agree.
1.1These Terms of Service (“Terms”) are a binding agreement between you and [Memorylane, Inc.], a [Delaware corporation] (“Memorylane”, “we”, “us”). They cover the Memorylane iPhone app, the memorylane website and every service they connect to (together, the “Service”).
1.2By creating an account, starting a subscription or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which explains how we handle personal information. If you don't agree, don't use the Service.
1.3If you're accepting for a child, as a parent or legal guardian, you agree to these Terms for yourself and on the child's behalf, and you're responsible for the child's use.
1.4The plain-language summaries on this page are there to help you read. They aren't part of the agreement and don't change its meaning.
Who can use Memorylane
13 and up can make their own account. Younger kids join through a parent.
2.1You must be at least 13 years old, or the minimum age required in your country if it's higher, to create your own account.
2.2A child under 13 may use the Service only through a managed profile that a parent or legal guardian creates on a Family plan, after the parent reads our children's privacy notice and gives consent. We don't let children under 13 sign up on their own.
2.3If you're 13 or older but under the age of majority where you live, you may use the Service only with the permission of a parent or legal guardian who agrees to these Terms.
2.4We may use age information you give us, and age-range signals from Apple or your device, to decide which features and privacy defaults apply. If we learn that someone under 13 is using the Service without a parent's consent, we'll stop that use and delete their information as our Privacy Policy describes.
2.5You may not use the Service if you're barred from doing so under the laws that apply to you, or if we previously closed your account for breaking these Terms.
Your account
One person per account. Keep your sign-in to yourself.
3.1Give us accurate information when you sign up and keep it current. Each account is for one person. Don't share your sign-in, sell or transfer your account, or use someone else's.
3.2You're responsible for activity on your account and for keeping your password and devices secure. Tell us right away at [support@memorylane.app] if you think someone else has access.
3.3A managed profile for a child is controlled by the parent who created it. The parent may change its settings, remove it from the Family plan, or delete it.
Your content
Your notes are yours. We use them to make your guides, and we don't train AI on them.
4.1What counts as your content. “Your content” means everything you add to the Service, including photos, PDFs, typed notes, files you attach to a chat, your messages to the tutor and what you say on a voice call. It also includes the study guides, questions and answers the Service makes for you from that material (“outputs”).
4.2You keep your rights. As between you and us, you own your content. We don't claim ownership of it, and nothing in these Terms takes that away.
4.3The permission you give us. You give Memorylane a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display your content only as needed to provide, secure and support the Service for you. That includes reading it, writing questions from it, scheduling reviews, answering you, sharing it with the people you choose, and showing family members what your sharing settings allow. Our service providers may do the same on our behalf. The licence ends when you delete the content or your account, except for copies other people already received from you and for backups that expire on their normal schedule.
4.4No AI training on your content. We don't use your content to train or improve AI models, and we don't let our AI providers do so. We don't sell your content.
4.5What you promise. You may add only material you have the right to use. You're responsible for your content, and for making sure that using it with the Service doesn't break the law, your school's rules, or anyone else's rights, including copyright and privacy. Don't upload other people's sensitive personal information.
4.6Feedback. If you send us ideas or suggestions, we may use them without paying you or owing you anything.
AI features
The tutor and the cards are made by AI. They're a study aid, not the final word.
5.1Memorylane uses artificial intelligence to read your material, write questions, answer you in chat and talk with you on voice calls. AI output can be incomplete, out of date or simply wrong, even when it cites a page from your notes. It may also misread handwriting, photos or audio.
5.2Use outputs as a study aid only. Check anything important against your own notes, textbook or teacher. Outputs aren't professional advice of any kind, including medical, legal, financial or mental-health advice, and they don't replace a teacher or tutor.
5.3Outputs are made for you from your content. Someone else using similar material may get similar outputs, and they belong to that person as much as yours belong to you.
5.4Voice calls. When you start a voice call, what you say is sent to our AI provider in real time so the tutor can answer. We don't keep a recording of your voice. We save a written transcript of the call to your account, so you and the tutor can refer back to it. You can delete it as described in our Privacy Policy.
5.5Before AI processes your content for the first time, the app asks your permission. You can withdraw it in Settings › Privacy; making guides and the tutor won't work until you allow it again.
5.6Don't try to make the AI produce harmful, illegal, sexual or hateful content, or get around the limits we put on it. For children's managed profiles, the tutor may give hints before answers and may refuse topics that aren't suitable.
Studying honestly
Memorylane helps you learn it, not get around learning it.
6.1Use the Service to learn. Don't use it to cheat, including to answer questions during a test or graded assignment where that isn't allowed, or to hand in AI output as your own work when your school's rules say you can't.
6.2You're responsible for knowing and following the academic-integrity rules of your school, teacher or exam board. We may suspend accounts used to break them, and we may cooperate with a school's lawful investigation as our Privacy Policy allows.
Sharing guides
When you share a guide, the other person gets their own copy. You can't see how they study.
7.1You can share a study guide by link, QR code or code. The person who opens it gets a copy of the guide's questions and answers to study. They don't need an account, and their study activity stays on their phone. We don't show you how they use it.
7.2Share only guides you have the right to share. Once someone has a copy, deleting your guide doesn't remove theirs.
7.3When the person opening a shared guide is under 13, the app asks a parent or other grown-up to approve on the same phone first. Shared copies don't include the AI tutor.
7.4On a Family plan, a parent can also make a guide for a child in the household. The child gets their own copy, which then belongs to the child's account.
Family plans
One parent, up to four kids. What a parent sees depends on the kid's age and choices.
8.1A Family plan covers up to five people: the parent who buys it (the “organizer”) and up to four children in the household. The organizer invites children with a code; children don't need an email address or an Apple account, and they never see a paywall.
8.2The organizer must be an adult and the parent or legal guardian of each child they add, or have that parent's permission. The organizer is responsible for the plan, for giving any consent these Terms or the law require, and for supervising children under 13.
8.3What the organizer can see about each child depends on the child's age and, from 13, on the child's own sharing choices, as set out in our Privacy Policy. The organizer agrees not to misuse that access or to pressure a teen into sharing more than they choose.
8.4The organizer can remove a child from the plan. Deleting the organizer's account deletes the household and the accounts of every child linked to it. A teen who wants to keep their guides should ask for a copy first, or move to their own subscription.
8.5Apple Family Sharing doesn't apply to Memorylane subscriptions.
Subscriptions, trials and payment
Apple bills you and renews the plan until you cancel. Apple handles refunds.
9.1Plans. Some features need a paid subscription: Plus, for one person, or Family, for up to five. Each is offered monthly or yearly. The price, currency and billing period are shown in the app before you buy, and may vary by country.
9.2Billing. Subscriptions are sold through Apple's App Store and charged to your Apple account. Apple's terms and payment methods apply. We never see your card details.
9.3Automatic renewal. Your subscription renews automatically at the end of each period, at the then-current price, until you cancel. Cancel at least 24 hours before the period ends to avoid the next charge. You keep access until the end of the period you've paid for.
9.4Free trials. If we offer you a free trial, the app shows its length before you start. Unless you cancel at least 24 hours before it ends, your paid subscription starts and you're charged. Trials are one per person, and we may decide who is eligible.
9.5Cancelling. Cancel in Settings › Account › Manage subscription in the app, or in your iPhone's Settings under your name, then Subscriptions. Deleting your Memorylane account doesn't cancel your subscription; cancel it with Apple first.
9.6Refunds. Apple processes all refunds under its own policies. Request one at reportaproblem.apple.com. Except where the law requires otherwise, we don't give partial refunds for unused time.
9.7Price changes. If we raise a subscription price, Apple will tell you beforehand and, where required, ask you to agree. If you don't want to pay the new price, cancel before it takes effect.
Using Memorylane fairly
Use it to study. Don't break it, abuse it, or hurt anyone with it.
10.1You agree not to:
- break any law, or help anyone else do so;
- upload content that is illegal, sexual, violent, hateful, harassing, or that exploits or endangers children;
- upload content you don't have the rights to, or other people's private information without their permission;
- bully, threaten, impersonate or deceive anyone, including through a shared guide or a cheer;
- copy, scrape, resell or sublicense the Service, or use it to build a competing product or train AI models;
- reverse-engineer, decompile or try to find the source code of the app, except where the law allows it;
- get around usage limits, payment, age gates, safety features or security;
- overload, disrupt or test the vulnerability of the Service without our written permission;
- use bots or automated means to access the Service, other than as we allow.
10.2We may remove content or limit features that break this section, and we may report illegal content, including child sexual abuse material, to the authorities.
Our app, and your licence to use it
The app is ours. You get a personal licence to use it.
11.1The Service, including its software, design, text, graphics and the Memorylane name and logo, belongs to us or our licensors and is protected by law. Apart from your content, these Terms don't give you any rights in it.
11.2Subject to these Terms, we give you a personal, revocable, non-exclusive, non-transferable licence to download and use the app on Apple devices you own or control, as allowed by the Usage Rules in Apple's Media Services Terms and Conditions, for your own non-commercial study.
Copyright complaints
Think something infringes your work? Tell our copyright agent.
12.1We respect intellectual property and respond to notices under the U.S. Digital Millennium Copyright Act. Send notices to our designated agent: [Name, Copyright Agent, street address, copyright@memorylane.app].
12.2Your notice must include: your physical or electronic signature; the copyrighted work you believe is infringed; the material you believe infringes it and enough information for us to find it; your contact details; a statement that you believe in good faith the use isn't authorised by the owner, its agent or the law; and a statement, under penalty of perjury, that your notice is accurate and that you're the owner or authorised to act for the owner.
12.3If we remove your content after a notice and you believe that was a mistake, you can send our agent a counter-notice as the DMCA allows. We close the accounts of repeat infringers where appropriate.
Other services
Some parts run through other companies, like Apple. Their terms apply to them.
13.1The Service relies on third parties, including Apple for downloads and billing, and providers that host data and run AI for us. It may link to websites or services we don't control. We're not responsible for third-party services you choose to use, and their own terms and privacy policies apply to them.
Changes
If we change something important, we tell you first.
14.1To the Service. We're always improving Memorylane, and we may add, change or remove features. If we remove a major paid feature you're subscribed for, we'll tell you in advance and, where the law requires, offer a fair remedy.
14.2To these Terms. We may update these Terms. If a change is material, we'll tell you in the app or by email at least [30] days before it applies, unless the change is needed sooner for legal or safety reasons. If you keep using the Service after the change applies, the new Terms apply. If you don't agree, stop using the Service and cancel your subscription. Changes to section 19 never apply to disputes we already knew about.
Ending things
You can leave any time. We can close accounts that break these terms.
15.1You can stop using the Service and delete your account at any time in Settings › Account › Delete account.
15.2We may suspend or close your account, or limit access, if you seriously or repeatedly break these Terms, if the law requires it, or if your use creates risk or legal exposure for us or others. Where it's reasonable and lawful, we'll tell you first and give you a chance to fix the problem or download your content.
15.3When your account ends, your licence to use the app ends too. Sections 4.2, 4.6, 6, 11.1 and 16 to 23 keep applying after that.
Disclaimers
We work hard on Memorylane, but we can't promise it's perfect.
16.1To the fullest extent the law allows, the Service and all outputs are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We don't promise that the Service will be uninterrupted, secure or error-free, that outputs will be accurate or complete, or that using the Service will improve your grades or test results.
16.2Some places don't allow these exclusions, so some of them may not apply to you. Nothing in these Terms limits rights you have under consumer law that can't be waived.
Limits on liability
If something goes wrong, what we owe you has a limit.
17.1To the fullest extent the law allows, Memorylane and its officers, employees, agents, suppliers and licensors won't be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of data, grades, academic standing, profits or goodwill, arising from or related to these Terms or the Service, even if we were told they were possible.
17.2To the fullest extent the law allows, our total liability for all claims arising from or related to these Terms or the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) US $100.
17.3These limits don't apply to liability that can't be limited by law, such as for death or personal injury caused by negligence, or for fraud.
Indemnity
If your misuse gets us sued, you cover the cost.
18.1If you're an adult, you agree to defend and indemnify Memorylane and its officers, employees and agents against claims, losses and reasonable legal fees brought by third parties that arise from your content, your breach of these Terms, or your misuse of the Service. If you're a parent who accepted these Terms for a child, this includes the child's use. We'll tell you about any such claim and may choose to control its defence.
Settling disputes
Talk to us first. If that fails, an arbitrator decides, one person at a time. You can opt out.
19.1Talk to us first. Before starting a formal claim, send a written description of the problem, the relief you want and your contact details to [legal@memorylane.app]. We'll do the same for you at your account email. Both sides agree to try in good faith to resolve it within 60 days.
19.2Binding arbitration. If we can't resolve it, you and Memorylane agree that any dispute arising from or related to these Terms or the Service will be resolved by binding individual arbitration, not in court. Arbitration is administered by [the American Arbitration Association under its Consumer Arbitration Rules]. The arbitrator may award the same individual relief a court could. We'll pay the filing, administration and arbitrator fees beyond what you'd pay to file in court, unless the arbitrator finds the claim frivolous.
19.3Class action waiver. You and Memorylane may bring claims against each other only individually, not as a plaintiff or class member in any class, collective or representative proceeding. The arbitrator may not combine more than one person's claims. You and Memorylane each give up the right to a jury trial.
19.4Exceptions. Either side may bring an individual claim in small-claims court, and either side may ask a court to stop infringement or misuse of intellectual property.
19.5Mass filings. If 25 or more similar claims are filed by or with the help of the same lawyers, they'll be handled in batches of up to 50 under the provider's mass-arbitration procedures, and the time limits for filing are paused for claims waiting their turn.
19.6Your right to opt out. You can opt out of this section 19 within 30 days of first accepting these Terms by emailing [optout@memorylane.app] with your name, account email and a clear statement that you're opting out of arbitration. Opting out doesn't affect anything else in these Terms.
19.7If the class action waiver in 19.3 is found unenforceable for a claim, that claim must be decided by a court, not in arbitration.
Governing law
[Delaware] law applies, unless your local consumer law says otherwise.
20.1These Terms are governed by the laws of the State of [Delaware] and applicable U.S. federal law, without regard to conflict-of-law rules. Any claim not subject to arbitration will be heard in the state or federal courts in [New Castle County, Delaware], and both sides consent to their jurisdiction.
20.2If you live in the European Union, the United Kingdom or another country whose consumer law gives you the right to rely on local law and bring claims in your local courts, nothing in these Terms takes that right away.
Apple App Store terms
Apple isn't a party to this deal, but it can enforce it.
If you got the app from Apple's App Store, you and we also agree that:
- Acknowledgement. These Terms are between you and Memorylane only, not Apple. Memorylane, not Apple, is solely responsible for the app and its content.
- Scope of licence. Your licence is limited to using the app on Apple-branded products you own or control, as the App Store's Usage Rules allow.
- Maintenance and support. Memorylane alone is responsible for maintenance and support. Apple has no obligation to provide any.
- Warranty. If the app fails to meet any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. To the extent the law allows, Apple has no other warranty obligation for the app, and any other claims, losses or costs from a failure to meet a warranty are Memorylane's responsibility.
- Product claims. Memorylane, not Apple, is responsible for any claims about the app or your use of it, including product liability, failure to meet legal or regulatory requirements, and claims under consumer-protection, privacy or similar laws.
- Intellectual property. If a third party claims the app infringes its intellectual property, Memorylane, not Apple, is responsible for investigating, defending, settling and discharging the claim.
- Legal compliance. You confirm you're not in a country subject to a U.S. government embargo or designated as “terrorist supporting”, and you're not on any U.S. government list of prohibited or restricted parties.
- Developer contact. Questions, complaints or claims about the app go to us at the address in section 23.
- Third-party terms. You must follow any third-party agreement that applies when you use the app.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, may enforce them against you.
The rest
The small print every agreement needs.
22.1Whole agreement. These Terms, the Privacy Policy and any terms shown to you for a specific feature are the whole agreement between you and us about the Service.
22.2Severability. If any part of these Terms can't be enforced, the rest still applies, and the unenforceable part is changed only as much as needed to make it enforceable.
22.3No waiver. If we don't enforce a part of these Terms straight away, we can still enforce it later.
22.4Transfer. You can't transfer these Terms or your account. We may transfer them as part of a merger, acquisition or sale of assets, and we'll tell you if that happens.
22.5Events outside our control. We're not responsible for delays or failures caused by things we can't reasonably control, such as outages at our providers, natural disasters or changes in law.
22.6Notices. We may send you notices in the app or to your account email. You can send notices to the address in section 23.
22.7Language. If we translate these Terms, the English version controls where the law allows.
